2. Client Terms of Service

2.1 Estimates & Scope

Quotes reflect initial needs. Any scope changes may incur added costs. Clients should confirm the scope in writing or via virtual consultation.

2.2 Agreement Acceptance

Email, signed agreement, verbal approval, or payment confirms acceptance of terms.

2.3 Client Responsibilities

  • Provide clear scope and content within 14 days
  • Supply assets and credentials promptly
  • Communicate expectations to avoid misalignment

2.4 Revisions & Rework

  • Post-approval changes are billable
  • Rework from client modifications is charged
  • Bugs are fixed at no cost during development

2.5 Delays & Paused Projects

  • Client delays may impact schedule and cost
  • Projects inactive >60 days may incur weekly fees
  • Pausing is allowed with notice and no penalty

2.6 Intellectual Property

  • Code is Data Experts 360’s until full payment
  • Source code is licensed, not transferred
  • Clients can't reproduce or redistribute code

2.7 Hosting & Infrastructure

  • Hosting, SSL, plugins not included unless stated
  • Third-party compatibility is the client’s duty
  • We are not liable for host errors or downtime

2.8 Testing & Compatibility

  • Modern browsers and mobile testing included
  • Extra compatibility testing is optional and billable

2.9 Third-Party Tools

  • Third-party service fees are client’s responsibility
  • Ongoing plugin/CMS maintenance is separate

2.10 Deployment & Access

  • Internal hosting used during development
  • Final product deployed after full payment
  • Test server access is restricted

2.11 Ownership & Licensing

  • Clients own UI/UX, visuals, and content post-payment
  • Backend systems remain proprietary unless otherwise agreed

3. Communication Protocols

Email is the standard mode of communication. Urgent issues are handled via scheduled calls. Clients must update contact details to ensure continuity.

4. E-Billing Policy

4.1 Billing Structure

Invoices are milestone-based or per agreed timelines. All invoices are in AUD and include GST. Payment is due in 7 or 14 days unless noted otherwise.

4.2 Late Payments

  • 5% late fee every 30 days
  • Repeated delays may pause service

4.3 Payment Methods

Bank transfer, card payments, and PayPal are accepted. Cards may incur a surcharge.

4.4 Disputes

Billing disputes must be raised within 7 days of receiving the invoice. Late claims may not be honored.

4.5 Digital Records

Clients agree to electronic receipts and records under the Electronic Transactions Act 1999.

5. Legal Compliance & Liability

5.1 Governing Law

These terms are governed by the laws of Queensland, Australia. Disputes will be handled in Queensland courts.

5.2 Limitation of Liability

We are not liable for indirect or incidental damages to the extent permitted by law.

5.3 Consumer Rights

Your rights under Australian Consumer Law remain intact. If services don’t meet guarantees, remedies apply.

5.4 Force Majeure

We are not responsible for delays caused by factors outside our control (e.g., disasters, outages, restrictions).
